These Terms of Service ("Terms") govern your use of Paytrinsic's website and merchant services consulting. By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use our website or services.

1. Nature of Services

1.1 Consulting and Referral Services

Paytrinsic provides merchant services consulting and referral services. We evaluate your payment processing needs and refer you to acquiring banks and payment processors ("Processing Partners") with whom we have established relationships.

1.2 No Direct Processing Relationship

Paytrinsic does not provide payment processing services directly. Any merchant account, processing agreement, or related services are provided by and contracted directly between you and the Processing Partner. Paytrinsic is not a party to your processing agreement.

1.3 Services Provided

Our services include:

  • Business evaluation and payment processing needs assessment
  • Referral to appropriate Processing Partners
  • Application assistance and documentation support
  • Implementation coordination and technical integration guidance
  • Service fee and surcharge program consultation
  • China payment method acceptance guidance
  • Ongoing account relationship management and support
  • Liaison services between you and Processing Partners

2. Processing Partner Relationship

2.1 Direct Contractual Relationship

You acknowledge and agree that your merchant processing agreement, including all terms, conditions, pricing, and obligations, is between you and the Processing Partner. Paytrinsic is not a party to that agreement and has no control over its terms.

2.2 Processing Partner Decisions

All decisions regarding account approval, underwriting, pricing, settlement, reserves, account monitoring, and termination are made solely by the Processing Partner. Paytrinsic does not make these decisions and cannot guarantee approval or specific terms.

2.3 No Guarantee of Approval

Submission of an application through Paytrinsic does not guarantee approval by any Processing Partner. Each Processing Partner conducts independent underwriting and makes its own approval decisions.

3. Your Obligations

3.1 Accurate Information

You agree to provide accurate, complete, and truthful information when working with Paytrinsic. Providing false or misleading information may result in application denial or account termination by the Processing Partner.

3.2 Compliance with Processing Agreement

You are responsible for complying with all terms and conditions of your processing agreement with the Processing Partner, including payment of fees, maintenance of compliance requirements, and adherence to card network rules.

3.3 Communication

You agree to communicate promptly regarding account issues, changes to your business, or questions about your processing services. While Paytrinsic provides liaison services, you remain responsible for direct communication with your Processing Partner when required.

4. Fees and Compensation

4.1 Processing Fees

All processing fees, monthly account fees, transaction fees, and related charges are established by and paid directly to the Processing Partner according to your processing agreement. Paytrinsic does not set these fees and is not responsible for fee disputes.

4.2 Consulting Fees

Paytrinsic's consultation services are provided at no direct cost to you. We may receive compensation from Processing Partners for successful referrals and ongoing account relationships. This compensation does not affect the pricing you receive from Processing Partners.

4.3 Implementation Services

Certain specialized services, such as service fee program implementation, may involve separate fees. These fees will be clearly communicated and agreed upon in writing before services are rendered.

5. Limitation of Liability

5.1 Scope of Liability

Paytrinsic's liability is limited to our consulting and referral services only. We are not liable for:

  • Processing Partner actions, decisions, or failures
  • Account approvals, denials, or terminations
  • Settlement timing, holds, or reserves
  • Chargebacks, disputes, or transaction issues
  • Processing fees or fee changes
  • System downtime or technical failures
  • Changes to card network rules or regulations
  • Loss of revenue or business opportunities

5.2 Maximum Liability

To the maximum extent permitted by law, Paytrinsic's total liability for any claims arising from our services shall not exceed $1,000 or the fees paid to Paytrinsic by you in the six months preceding the claim, whichever is less.

5.3 No Consequential Damages

Paytrinsic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

6. Disclaimers and Warranties

6.1 No Warranties

Our services are provided "as is" without warranties of any kind, express or implied. We make no warranties regarding:

  • Approval by any Processing Partner
  • Specific pricing or terms from Processing Partners
  • Processing Partner performance or reliability
  • Uninterrupted or error-free services
  • Results from our consulting recommendations

6.2 Independent Evaluation

You are responsible for independently evaluating Processing Partners, reviewing their terms and conditions, and making your own decisions. Paytrinsic's referral does not constitute an endorsement or guarantee of any Processing Partner's services.

7. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Paytrinsic and protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written permission.

8. Website Use

8.1 Acceptable Use

You agree to use our website only for lawful purposes. You may not:

  • Attempt to gain unauthorized access to our systems
  • Interfere with website functionality
  • Use automated systems to access the website
  • Submit false or misleading information

Before filing any claim, you agree to contact us to attempt to resolve the dispute informally.

12.2 Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law provisions.

12.3 Venue

Any legal action arising from these Terms shall be brought exclusively in the courts of Palm Beach County, Florida.

13. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our services after changes constitutes acceptance of modified Terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paytrinsic regarding our services and supersede all prior agreements and understandings.
